Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and LunoFOX ("we", "us", or "our") governing your access to and use of the LunoFOX platform, mobile applications, website, and all related services (collectively, the "Service").

By downloading the LunoFOX app, creating an account, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

Description of Service

LunoFOX is a legal intelligence platform designed to support qualified legal professionals in Nigeria. The Service provides:

• AI-assisted legal research across Nigerian statutes, court decisions, and regulatory publications.
• Contract and document review with clause-level risk analysis.
• Precedent analysis referencing Supreme Court, Court of Appeal, and Commonwealth case law.
• Regulatory intelligence drawing on CAMA, CAC filings, CBN circulars, and Federal Gazette publications.
• Legal document drafting and structured opinion generation.
• Firm-level team management and collaboration tools (for firm accounts).

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practicable.

Eligibility

To use LunoFOX, you must:

• Be at least 18 years of age.
• Be a qualified legal practitioner, law student, law firm employee, or otherwise have a legitimate professional or academic use for legal research tools.
• Have the legal capacity to enter into a binding agreement under Nigerian law.
• Not be prohibited from using the Service under any applicable law or regulation.

LunoFOX is not intended for general consumer use. It is designed for legal professionals and those working within or alongside legal practice.

Accounts & Access

To access most features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the confidentiality of your login credentials and not share them with any third party.
• Notify us immediately at support@lunofox.com if you become aware of any unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts found to be in breach of these Terms, used fraudulently, or otherwise posing a risk to the platform or other users.

Acceptable Use

You may use LunoFOX only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to facilitate any unlawful activity, including fraudulent legal filings or fabricating legal authorities.
• Misrepresent AI-generated outputs as your own independent legal research without verification and attribution where required by your professional obligations.
• Attempt to reverse-engineer, scrape, or extract the underlying data, models, or algorithms of the platform.
• Use automated scripts, bots, or crawlers to access the Service without our prior written consent.
• Upload content that is defamatory, illegal, or violates the rights of any third party.
• Share your account credentials or allow multiple individuals to use a single-user subscription concurrently.
• Reproduce or resell outputs of the Service as a standalone product without our express written authorisation.
• Attempt to circumvent any security measures, rate limits, or access controls on the platform.

Not Legal Advice

LunoFOX is a legal research and intelligence tool. It is not a law firm, and it does not provide legal advice.

Nothing produced by the Service; including research outputs, contract risk analyses, document drafts, or case summaries; constitutes legal advice, a legal opinion, or a substitute for the independent professional judgment of a qualified lawyer. All outputs are generated by AI systems and must be reviewed, verified, and applied by a licensed legal practitioner before any reliance is placed on them.

We make no warranty; express or implied; that the outputs of the Service are accurate, complete, current, or fit for any particular legal purpose. Legal positions evolve; statutes are amended; judicial interpretations shift. Always apply your own independent analysis.

Intellectual Property

All intellectual property rights in the LunoFOX platform; including its software, design, knowledge base, AI models, brand, and all content created by us; are owned by or licensed to LunoFOX and are protected under applicable Nigerian and international intellectual property law.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal professional purposes.

You must not:

• Copy, modify, distribute, sell, or sublicense any part of the platform or its underlying technology.
• Remove or alter any proprietary notices, branding, or attribution on the Service.
• Use LunoFOX's name, logo, or branding without prior written consent.

Outputs generated by the Service based on your queries may be used by you for your professional purposes. Attribution to LunoFOX is appreciated where outputs are cited in formal work products.

Your Content

You retain ownership of all documents, queries, and content you upload or submit to the Service ("User Content"). By submitting User Content, you grant LunoFOX a limited, non-exclusive licence to process that content for the sole purpose of delivering the Service to you.

You represent and warrant that:

• You have the right to submit the User Content and to grant us this licence.
• Submitting the User Content to LunoFOX does not violate any confidentiality obligation, court order, or third-party right.
• The User Content does not contain any material that is unlawful, harmful, or prohibited under these Terms.

We do not claim ownership of your User Content, and we do not use it to train our AI models in identifiable form. See our Privacy Policy for full details on how User Content is handled.

Subscriptions & Billing

Access to certain features of LunoFOX requires a paid subscription. Subscriptions are managed through the Apple App Store or Google Play Store, and all billing, payment processing, and refund handling is governed by those platforms' terms.

• Subscription fees are charged on a recurring basis (monthly or annual, depending on the plan selected) and will automatically renew unless cancelled before the end of the current billing period.
• Prices are displayed in the relevant app store at the time of purchase. We reserve the right to change subscription pricing with advance notice.
• You may cancel your subscription at any time through your device's subscription management settings. Cancellation takes effect at the end of the then-current billing period; no partial refunds are issued for unused time except as required by applicable law or app store policy.
• We are not responsible for any billing errors, charges, or disputes arising from the app store platforms. Please contact the relevant app store for billing support.

Law firm subscriptions managed through admin.lunofox.com are subject to separate commercial terms agreed at the time of onboarding.

Firm Accounts

Law firms accessing LunoFOX through the firm administration portal are subject to additional terms agreed during the onboarding process. Firm administrators are responsible for:

• Managing user access and ensuring all members of the firm use the Service in accordance with these Terms.
• Maintaining the confidentiality of firm-level credentials and administrative access.
• Ensuring that use of LunoFOX by their lawyers complies with applicable professional conduct rules.
• Promptly removing access for former employees, contractors, or associates upon termination of their engagement.

The firm bears responsibility for any breach of these Terms by its authorised users. LunoFOX data is isolated per firm; no firm can access the data or outputs of another firm.

Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by Nigerian law, we disclaim all warranties including, but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Warranties that the Service will be uninterrupted, error-free, or free of harmful components.
• Warranties regarding the accuracy, completeness, currency, or reliability of any legal research output, contract analysis, or document generated by the Service.
• Warranties that any specific legal outcome will be achieved by reliance on Service outputs.

Legal data changes. Court decisions are overturned. Statutes are amended. Regulatory positions evolve. LunoFOX makes reasonable efforts to maintain current and accurate data, but cannot guarantee that all outputs reflect the most recent legal position at the time of use. Independent verification is always required.

Limitation of Liability

To the fullest extent permitted by applicable law, LunoFOX and its officers, directors, employees, and agents shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunity.
• Damages arising from reliance on any output of the Service in legal proceedings or client advice.
• Damages arising from unauthorised access to or use of your account.
• Damages arising from any interruption, suspension, or termination of the Service.

In jurisdictions where the exclusion of liability is limited by law, our total liability to you for any claim arising from or related to these Terms or your use of the Service shall not exceed the total subscription fees paid by you to LunoFOX in the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless LunoFOX and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service in violation of these Terms.
• Any User Content you submit to the platform.
• Your violation of any applicable law, regulation, or third-party right.
• Any legal advice, opinion, or filing produced using outputs of the Service.
• Any misrepresentation made by you in connection with your account or use of the Service.

Termination

You may stop using the Service and delete your account at any time. Account deletion requests can be made through the app settings or by contacting support@lunofox.com.

We may suspend or terminate your access to the Service, with or without notice, if:

• You breach any provision of these Terms.
• We reasonably believe your use poses a security risk or legal exposure to LunoFOX or other users.
• You fail to pay applicable subscription fees.
• We are required to do so by law or court order.
• We decide to discontinue the Service, with reasonable notice where possible.

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination; including Sections 6, 7, 11, 12, 13, and 15; shall continue to apply.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms; including disputes regarding their existence, validity, or termination; shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Before initiating formal proceedings, we encourage both parties to attempt to resolve disputes informally by contacting us at legal@lunofox.com. We will endeavour to respond within 14 business days.

Changes to Terms

We may revise these Terms from time to time to reflect changes to our Service, applicable law, or business practices. When material changes are made, we will:

• Update the "Last updated" date at the top of this page.
• Notify registered users via email or an in-app notice at least 14 days before the changes take effect.
• Where required by law, seek your renewed consent before changes apply to you.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
